Terms of Service.

Welcome to NewClear Marketing Group ("NewClear," "we," "us," or "our"). By accessing or using our platform at newclearmg.com, submitting an application, or engaging our services in any capacity — whether as a brand partner or a content creator — you agree to be legally bound by these Terms of Service. If you do not agree, do not access or use our services.

01Introduction & Acceptance

Welcome to NewClear Marketing Group ("NewClear," "we," "us," or "our"). By accessing or using our platform at newclearmg.com, submitting an application, or engaging our services in any capacity — whether as a brand partner or a content creator — you agree to be legally bound by these Terms of Service. If you do not agree, do not access or use our services.

02Description of Services

NewClear Marketing Group is a user-generated content (UGC) agency that connects content creators with brand advertising opportunities. Our services include recruiting and managing content creators, overseeing content production and editing, distributing content across social media platforms, and facilitating the submission of high-performing content to our distribution partner network for potential brand placement.

03Eligibility

You must be at least 18 years of age to use our platform. By registering, you confirm that all information you provide is accurate, current, and complete. Our services are currently available to users in the United States. International users may access our platform but are solely responsible for compliance with their local laws, tax obligations, and content regulations. NewClear makes no representation that its services are appropriate or available in all jurisdictions.

04Account Registration

Creators: to register, you must provide your full legal name, email address, phone number, and create a secure password. To receive payouts, you must also complete payment account setup through our payment processor. You are responsible for keeping your credentials confidential and for all activity under your account.

Brands: to register, you must provide your brand name, website URL, current funding status, a rough monthly revenue estimate, and a contact representative's first name, last name, phone number, and email address.

On joining, first-time users will be prompted to complete an identity verification step via our designated messaging channel. Failure to complete this step may result in limited or suspended platform access.

05Creator Obligations

As a creator, you agree to: film and deliver raw video clips according to the specifications and timelines communicated by NewClear (creators are not responsible for editing, captioning, or posting — NewClear handles all production and distribution unless agreed upon) · grant NewClear a non-exclusive, royalty-free, worldwide license to edit, publish, and distribute your submitted content across social media platforms as directed · connect your social media accounts via our platform's account-linking flow when prompted, and keep those connections active for the duration of any campaign you are enrolled in · authorize NewClear and our designated distribution partners to schedule and post approved content directly to your connected accounts on your behalf · ensure all content you submit is original and does not infringe on any third-party intellectual property rights · comply with all applicable laws and platform terms of service, including the terms of any social media platforms to which your accounts are connected · refrain from independently posting or distributing content created under a NewClear campaign without prior written approval.

You retain full ownership of your social media accounts and all content you create at all times.

06FTC Disclosure Requirements

Creators must comply with all applicable FTC guidelines regarding sponsored and brand-adjacent content. This includes placing clear and conspicuous disclosures such as #ad, #sponsored, or #paidpartnership at the beginning of any content as per your agreement with NewClear — not buried in descriptions, hashtags, or below a "read more" prompt. Verbal disclosures within video content are also required where applicable.

NewClear is not liable for a creator's failure to comply with FTC disclosure requirements.

07Artificial Intelligence & Content Authenticity Policy

All content submitted to NewClear Marketing Group must be 100% original and feature the creator themselves on camera. The use of artificial intelligence in any form that generates, replicates, or simulates video content is strictly prohibited. This includes: AI-generated video or imagery · AI avatars, virtual personas, or digital likenesses · AI voice cloning or synthetic voiceover · deepfake technology or any tool that alters or fabricates the creator's appearance · stock footage or third-party video content presented as original creator content.

Creators must appear authentically and in person in all submitted videos. Content found to be in violation of this policy will be rejected, and repeated violations may result in immediate termination without compensation for the rejected deliverables. NewClear reserves the right to determine, at its sole discretion, whether submitted content meets the authenticity standards outlined in this policy.

08Brand Obligations

As a brand partner, you agree to: provide accurate, complete, and lawful creative briefs and brand assets · ensure all products, services, and claims featured in campaign content comply with applicable advertising laws · pay all agreed-upon fees on time per your agreement with NewClear · refrain from independently contacting or engaging creators discovered through our platform during your engagement and for 12 months following its conclusion.

09Third-Party Distribution & Brand Partnerships

NewClear works with third-party distribution partners to facilitate the placement of creator content with brand advertisers. Content that meets or exceeds a minimum performance threshold of 333k views may be forwarded to these partners for brand consideration. NewClear does not guarantee content placement, brand association, or compensation from any brand.

All creator accounts and content remain the property of the creator at all times. References to brands on our website reflect content that has been distributed through our partner network and do not imply a direct contractual relationship between NewClear and those brands.

10Payments & Compensation

Creator compensation is calculated on an RPM (revenue per mille/thousand views) model. Earnings are based on views accumulated within 30 days of a video's publish date — after 30 days, a video's eligible view count is frozen and no additional earnings accrue. A per-video earnings ceiling applies; the specific ceiling is communicated to creators upon campaign onboarding. Payouts are contingent on the content receiving approval from our brand partner network — NewClear does not release funds for content that has not been accepted. Payout rates and ceilings are subject to change with reasonable advance notice.

Payouts are processed bi-weekly, on or around the 1st and 15th of each calendar month. A minimum withdrawal threshold of $10 applies. To receive payouts, creators must complete payment account setup (including bank account connection) through our payment processor. NewClear is not liable for payment delays or failures resulting from incomplete or inaccurate payout account information provided by the creator. Creators are solely responsible for all applicable tax obligations arising from compensation received through our platform. NewClear does not withhold taxes on creator payouts.

11Intellectual Property

NewClear retains ownership of its platform, workflows, systems, and all underlying technology. Creators retain ownership of their content and accounts. NewClear's name, logo, and brand assets may not be used without prior written consent.

12Prohibited Conduct

Users may not: provide false or misleading information at any point during registration or engagement · use the platform for any unlawful or fraudulent purpose · attempt to reverse-engineer, scrape, or interfere with our platform or systems · circumvent NewClear to directly engage creators or brands discovered through our platform · submit content containing malware, viruses, or harmful code · harass, threaten, or spam other users.

Creators may not artificially inflate view counts, engage third-party services to generate fake views or engagement, or use bots or automated tools of any kind to manipulate content performance. Detection of fraudulent engagement will result in immediate account termination and forfeiture of all pending and accrued earnings associated with the affected content.

13Termination

NewClear reserves the right to suspend or terminate any account at any time, with or without notice, for violation of these Terms at our sole discretion. Outstanding payment obligations survive termination.

Upon termination of a creator's account, NewClear may retain access to and continued distribution of content already posted to the creator's social media accounts, subject to applicable law, for a period of up to 6 months following the effective termination date, unless otherwise required. Creators retain full ownership of their accounts and content at all times. Any earned compensation up to the termination date will be reviewed and processed within 90 days, subject to deduction for any policy violations.

14Disclaimers & Limitation of Liability

CPM rates, payout structures, and any earnings examples communicated by NewClear do not constitute a guarantee of future earnings. Creator compensation depends on content performance, audience engagement, algorithm changes, and other factors outside of NewClear's control. NewClear reserves the right to adjust CPM rates with reasonable advance notice.

Our platform and services are provided "as is" without warranties of any kind. NewClear does not guarantee campaign performance, follower growth, or specific content outcomes. To the maximum extent permitted by law, NewClear shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our services.

15Indemnification

You agree to indemnify and hold harmless NewClear Marketing Group, its officers, directors, employees, and agents from and against any claims, damages, or expenses (including reasonable attorneys' fees) arising from your use of the platform, your breach of these Terms, or your violation of any applicable law or third-party right.

16Governing Law

These Terms are governed by the laws of the United States. Any unresolved disputes shall be submitted to binding arbitration. You waive any right to a jury trial or class action participation.

17Modifications

We may update these Terms at any time. Material changes will be communicated via email or a notice on our platform. Continued use of our services following notice of changes constitutes acceptance.
